Terms of service

Last updated October 19, 2026

These terms are an agreement between you and Vauren (“Vauren”, “we”, “us”) about your use of the Vauren website and app (the “Service”). By creating an account, connecting a card machine, or otherwise using the Service, you agree to them. If you use the Service for an organization, you confirm you have authority to bind it, and “you” means that organization.

1. Who can use Vauren

The Service is for businesses: organizers of markets, fairs, festivals and similar events (“Organizers”) and the vendors who sell at them (“Vendors”). You must be at least 18 and able to form a binding contract.

2. What the Service is, and is not

Vauren is record-keeping and reporting software. It shows vendor sales, calculates commission, tracks booth fees and token booths, and produces reports.

  • We do not handle money. Vauren never receives, holds, transfers or settles funds. Booth fees, commission and token payouts are paid directly between Organizers and Vendors, outside the Service. We are not a party to any agreement between them and are not responsible for whether or how they pay each other.
  • Read-only access. When a Vendor connects a card machine account, we request read-only access to sales data. We cannot take payments or change anything in that account.
  • Not professional advice. Reports and calculations are tools to help you, not accounting, tax or legal advice. You are responsible for checking them and for your own taxes, bookkeeping and legal obligations.
  • Early-stage product. The Service is new and changing. Features may be added, changed or removed.

3. Your account

Keep your login details secret and tell us right away at security@getvauren.com if you think your account has been accessed without permission. You are responsible for activity under your account. Vendor invite links work like passwords: share them only with the Vendor they are meant for.

4. Organizer responsibilities

  • You have the right to give us the vendor information you add (for example names, emails and phone numbers), and you have told Vendors how it will be used, including by pointing them to our privacy policy.
  • Messages you send to Vendors, including reminders sent from your own email or phone, comply with Canada’s Anti-Spam Legislation (CASL) and other applicable laws.
  • You review reports before relying on them, and settle any disagreement with Vendors directly.
  • The commission rates, fees and terms you set with Vendors are lawful and agreed with them.

5. Vendor responsibilities

Sales totals you report and proof you upload must be accurate and yours to share. Connecting a card machine lets the Organizer of the events you join see your sales at those events. You can revoke access at any time from your card machine provider’s dashboard.

6. Acceptable use

You agree not to:

  • break any law, or use the Service for fraud, money laundering or deceptive records;
  • upload malware, or content that is unlawful or that you don’t have the right to share;
  • try to access other users’ data, probe or bypass our security, or disrupt the Service;
  • scrape, copy, resell or reverse-engineer the Service, except where the law allows it.

7. Third-party services

The Service works with services we don’t control, such as Square, Interac e-Transfer and our hosting providers. Your use of them is governed by their terms. We are not responsible for their availability, accuracy or actions, including errors or delays in sales data they provide.

8. Fees

Pilot use is free unless we agree otherwise in writing. Before we charge for anything, we will tell you the price and you will have to agree to it. Prices exclude applicable taxes.

9. Your data

You keep ownership of the data you put into the Service. You give us permission to host, process and display it only as needed to provide, secure and improve the Service, as described in our privacy policy. You can export your reports (PDF and CSV) at any time. We may use aggregated, de-identified data that cannot identify you, your vendors or your events.

10. Security

We use reasonable administrative, technical and physical safeguards to protect your data (see our security page). No service can guarantee perfect security, and you are responsible for securing your own devices and accounts.

11. Disclaimers

To the fullest extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. Reports depend on data from third parties and from Vendors’ own reports, which we do not verify.

12. Limitation of liability

To the fullest extent the law allows: (a) Vauren is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, or for amounts owed between Organizers and Vendors; and (b) Vauren’s total liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim and CAD $100. These limits apply whatever the legal theory and even if we were told the damage was possible. Nothing in these terms limits liability that cannot be limited by law, such as liability for gross or intentional fault where that applies.

13. Indemnity

You will defend and compensate Vauren for claims, losses and costs (including reasonable legal fees) arising from your data, your breach of these terms or the law, or any dispute between you and an Organizer, Vendor or customer.

14. Suspension and ending

You can stop using the Service and ask us to close your account at any time. We may suspend or end access if you break these terms, if required by law, or to protect the Service or other users, and we will give notice where reasonable. On closure you can export your data first; we then delete it as described in our privacy policy. Sections 2, 9 and 11 to 16 survive.

15. Changes to these terms

We may update these terms. We will post the new date at the top and, for significant changes, tell Organizers by email at least 14 days before they take effect. Continuing to use the Service after that means you accept them.

16. General

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of that province have exclusive jurisdiction. They are the entire agreement about the Service. If any part is unenforceable, the rest stays in effect. We are not liable for delays caused by events beyond our reasonable control. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. The parties have requested that these terms be drawn up in English. Les parties ont exigé que ces conditions soient rédigées en anglais.
